Welcome to JAD Tech LLC (“Company”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our website at jadtechllc.com and any IT, cloud infrastructure, or cybersecurity services provided by JAD Tech LLC (collectively, the “Services”).

By accessing or using our Services, purchasing a service plan, or subscribing to our monthly packages, you (“Client”, “User”, “you”) agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Services.

1. Business Services Overview

JAD Tech LLC provides B2B managed IT infrastructure, cloud platform management, and automated security solutions. Our service offerings—including Core Stability & Protection, Scalable Performance & Support, and Advanced Security & Infrastructure—are delivered under recurring monthly subscription agreements as specified on our website.

2. Eligibility & Business Representation

  • B2B Authorization: By purchasing or subscribing to our Services, you represent and warrant that you are acting on behalf of a valid business entity and have the legal authority to enter into binding agreements on its behalf.

  • Accuracy of Information: You agree to provide current, accurate, and complete company, billing, and contact details during checkout and maintain this information updated at all times.

3. Billing, Payments, and Automatic Renewal

  • Subscription Fees: All service packages are billed on a recurring monthly basis. Payment must be made via an authorized credit card, debit card, or electronic bank transfer.

  • Automatic Renewal: Your subscription will automatically renew at the end of each monthly billing cycle unless canceled in accordance with our cancellation policy.

  • Taxes: Clients are responsible for all applicable federal, state, local, or international sales, use, or value-added taxes resulting from their service agreement.

4. Cancellation & Refund Terms

  • Cancellations: You may request cancellation of your monthly service plan at any time by giving written notice at least seven (7) days prior to your next billing date.

  • Refund Policy: All refund requests, eligibility, and non-refundable scenarios are strictly governed by our Refund and Return Policy.

5. Acceptable Use Policy

Clients agree not to use JAD Tech LLC’s network, tools, or infrastructure to:

  • Engage in any fraudulent, unlawful, or unauthorized activities.

  • Distribute malware, conduct unauthorized penetration tests, or compromise third-party networks.

  • Resell, transfer, or sublicense our managed services to unauthorized third parties without prior written consent from JAD Tech LLC.

6. Intellectual Property Rights

All proprietary software, scripts, configuration workflows, documentation, and digital assets developed or utilized by JAD Tech LLC in providing the Services remain the exclusive intellectual property of JAD Tech LLC. Clients are granted a limited, non-exclusive, non-transferable license to utilize these materials solely for their internal business operations during an active subscription term.

7. Limitation of Liability

To the maximum extent permitted under applicable law:

  • JAD Tech LLC, its officers, employees, or agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, profits, data, or operational downtime.

  • The total aggregate liability of JAD Tech LLC arising out of or related to these Terms or the Services provided shall not exceed the total amount paid by the Client to JAD Tech LLC in the three (3) months immediately preceding the event giving rise to the claim.

8. Disclaimer of Warranties

Except as explicitly set forth in a custom executed Service Level Agreement (SLA), all Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory.

9. Governing Law and Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Wyoming, United States, without giving effect to any principles of conflicts of law. Any legal dispute, action, or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Wyoming, USA.
